1. Acceptance of Terms
Welcome to stocks.or.ke ("the Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform, including all content, features, market data, news articles, and community discussion services made available on stocks.or.ke.
By accessing or using the Platform in any way — whether by browsing, registering an account, or contributing content — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately discontinue use of the Platform. We reserve the right to update these Terms at any time. Continued use of the Platform following notice of any changes constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of Kenya. References to "user", "you", or "your" apply to all persons who access or use the Platform.
2. Eligibility
To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding agreements under Kenyan law. By using the Platform, you represent and warrant that you meet these requirements.
The Platform is intended for general informational and educational use by retail investors and members of the public with an interest in the Nairobi Securities Exchange. It is not a licensed stockbroker, investment adviser, or financial services provider under the Capital Markets Act, Cap 485A of the Laws of Kenya.
3. User Accounts
3.1 Registration
Certain features of the Platform, including community discussion forums and personalised alerts, require you to register for an account. When registering, you agree to provide accurate, current, and complete information and to keep that information up to date.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password and not share it with any third party
- Notify us immediately at [email protected] if you suspect any unauthorised access to your account
- Not create multiple accounts or impersonate any other person or entity
- Not use another user's account without their express permission
3.3 Account Suspension and Termination
We reserve the right to suspend or permanently terminate your account, at our sole discretion and without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or to the integrity of the Platform.
You may delete your account at any time by contacting us. Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply.
4. Platform Services and Content
4.1 NSE Market Data
The Platform provides live or delayed stock price data and market information sourced from the Nairobi Securities Exchange and/or third-party data providers. This data is provided for general informational purposes only.
You acknowledge that market data may be delayed, incomplete, or subject to error and that stocks.or.ke makes no guarantee as to the accuracy, completeness, or timeliness of any data displayed. You must not rely on Platform data as the sole basis for any investment, trading, or financial decision.
4.2 News and Market Analysis
The Platform publishes news articles and market analysis content. Such content reflects the views and research of the respective authors and does not constitute financial advice, a recommendation to buy or sell any security, or a solicitation of any investment.
4.3 Community Discussion Forums
Registered users may participate in community discussion forums. By posting content in the forums, you agree to the User-Generated Content rules set out in Section 6. We do not endorse or verify the accuracy of any user-submitted posts, opinions, or analyses.
4.4 Future Premium Features
We intend to introduce premium or paid subscription features in the future. Any such features will be subject to additional terms and pricing presented to you at the time of subscription. Free-tier access to existing features will not be retroactively restricted without reasonable prior notice.
5. No Financial or Investment Advice
IMPORTANT: stocks.or.ke is a market data and information platform only. Nothing on the Platform constitutes financial, investment, tax, legal, or any other professional advice. All content — including market data, news articles, analysis, forum posts, and notifications — is provided for general informational purposes only.
Investing in securities involves significant risk, including the possible loss of principal. Past performance of any security or market index does not guarantee future results. Before making any investment decision, you should:
- Conduct your own independent research and due diligence
- Consult a licensed stockbroker, financial adviser, or investment professional regulated by the Capital Markets Authority (CMA) of Kenya
- Consider your personal financial situation, objectives, and risk tolerance
stocks.or.ke, its owners, directors, employees, contributors, and data providers expressly disclaim any liability for investment decisions made in reliance on content published on the Platform.
6. User-Generated Content
6.1 Your Content
When you submit any content to the Platform — including forum posts, comments, profile information, or other material (collectively, "User Content") — you retain ownership of that content. However, by submitting User Content, you grant stocks.or.ke a non-exclusive, royalty-free, worldwide, perpetual licence to use, display, reproduce, and distribute your User Content on the Platform for the purpose of operating and improving the service.
6.2 Prohibited Content
You must not submit User Content that:
- Is false, misleading, or likely to deceive other users regarding securities or market conditions
- Constitutes market manipulation, insider trading, or any activity prohibited under the Capital Markets Act
- Is defamatory, abusive, harassing, threatening, or invasive of another person's privacy
- Infringes any intellectual property, trade secret, or other rights of any third party
- Contains unsolicited commercial messages, spam, or promotional material
- Contains malicious code, viruses, or any software intended to disrupt the Platform
- Violates any applicable Kenyan law or regulation
6.3 Moderation
We reserve the right, but not the obligation, to review, edit, remove, or refuse to display any User Content at our sole discretion and without notice, particularly where it violates these Terms or applicable law. Removal of content does not waive our right to take further action against the user responsible.
6.4 Reporting
If you believe any User Content violates these Terms or applicable law, please report it to us at [email protected]. We will investigate all reasonable reports and take appropriate action.
7. Permitted Use of Market Data
All NSE market data, stock prices, indices, and related information displayed on the Platform are provided exclusively for your personal, non-commercial, informational use. You agree that you will not, without our prior written consent:
- Scrape, crawl, spider, or use any automated means to extract data from the Platform
- Redistribute, republish, sell, sublicence, or commercially exploit any market data or content obtained from the Platform
- Frame or mirror any part of the Platform on another website or service
- Access the Platform through any interface other than those provided by stocks.or.ke
- Use the data to build a competing financial data product or service
Systematic or commercial extraction of data may constitute a breach of these Terms and may also infringe the intellectual property rights of the Nairobi Securities Exchange or our data providers. We reserve the right to pursue all available legal remedies for such violations.
8. Intellectual Property
8.1 Our Content
All content on the Platform that is not User Content — including the Platform design, graphics, logos, software, editorial articles, analysis, and compiled data displays — is owned by or licensed to stocks.or.ke and is protected by applicable Kenyan and international intellectual property laws.
You may access and view Platform content for personal, non-commercial use only. You must not copy, modify, distribute, sell, or create derivative works from our content without express written permission.
8.2 NSE Data Rights
Market data originating from the Nairobi Securities Exchange remains the proprietary information of the NSE and/or its licensed data vendors. Your use of such data is subject to the usage restrictions in Section 7 and any applicable NSE data licensing terms.
8.3 Feedback
If you submit any suggestions, ideas, or feedback about the Platform, you grant us a perpetual, royalty-free licence to use and implement such feedback without any obligation to compensate you.
9. Third-Party Links and Services
The Platform may contain links to third-party websites, including news sources, company websites, and stockbroker platforms. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy practices, or terms of any third-party sites.
The Platform also displays advertisements served by third-party advertising networks. Clicking on such advertisements may direct you to external sites. We are not responsible for the accuracy of such advertisements or for any products or services advertised.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY KENYAN LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Accuracy, completeness, or timeliness of market data, news, or analysis
- Fitness of the Platform for any particular purpose
- Uninterrupted, error-free, or secure operation of the Platform
- Freedom from viruses, malware, or other harmful components
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCKS.OR.KE AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:
- Your use of or inability to use the Platform
- Reliance on any market data, news, analysis, or forum content on the Platform
- Investment or financial losses incurred as a result of decisions informed by Platform content
- Unauthorised access to or alteration of your account or data
- Any bugs, errors, or inaccuracies in the Platform
This limitation applies regardless of whether such damages were foreseeable or whether we were advised of their possibility. Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under Kenyan law.
10.3 Indemnification
You agree to indemnify, defend, and hold harmless stocks.or.ke and its affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your User Content; or (c) your violation of any third party's rights.
11. Prohibited Conduct
You agree that you will not use the Platform to:
- Violate any applicable Kenyan law, regulation, or court order
- Engage in, facilitate, or promote any form of securities fraud, market manipulation, or insider trading
- Attempt to gain unauthorised access to any part of the Platform, its servers, or related systems
- Introduce malware, viruses, or any harmful code
- Impersonate stocks.or.ke, its staff, or any other person or entity
- Collect or harvest personal data of other users without consent
- Interfere with the integrity or performance of the Platform
- Use the Platform in any way that could bring stocks.or.ke or the NSE into disrepute
We reserve the right to investigate and report to law enforcement any activity that we reasonably suspect constitutes a criminal offence or a violation of CMA regulations.
12. Platform Availability and Modifications
We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, technical failures, or events outside our control.
We reserve the right to modify, suspend, or discontinue any feature or the entire Platform at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.
In the event of any dispute arising from or in connection with these Terms or your use of the Platform, you agree to first attempt to resolve the matter informally by contacting us at [email protected]. If the dispute is not resolved within 30 days, either party may refer the matter to the jurisdiction of the courts of Nairobi, Kenya.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and stocks.or.ke regarding your use of the Platform and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of stocks.or.ke.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
